Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, software, and websites provided by Open Canva, Inc. (“Open Canva”, “we”, “our”, or “us”).

By accessing or using Open Canva, you agree to these Terms. If you do not agree, you may not use the Services.

1. Description of Services

Open Canva provides a visual AI platform that allows users to generate, compare, and iterate on images, videos, and other creative assets using multiple AI models.

The platform may include:

  • Text-to-image generation
  • Text-to-video generation
  • Prompt tools and editing features
  • Integrations with third-party AI providers
  • Collaboration tools and workspaces

The Services may evolve over time and we may add or remove features at our discretion.

2. Eligibility

You must be at least 18 years old to use the Services.

By using Open Canva you represent that:

  • You have the authority to agree to these Terms
  • Your use complies with applicable law
  • You are not restricted by sanctions or export laws

3. User Accounts

To access certain features you must create an account.

You agree to:

  • Provide accurate information
  • Maintain account security
  • Notify us of unauthorized access

You are responsible for all activity occurring under your account.

4. User Inputs and Generated Content

User Input

You may provide prompts, text, images, or other materials (“Input”) to generate content. You represent that you have all rights necessary to submit such Input.

Generated Output

Subject to compliance with these Terms, Open Canva assigns to you any rights we may have in the generated content (“Output”). You may use Output for commercial or personal purposes.

However:

  • AI outputs may not be unique
  • Similar outputs may be generated for other users
  • Open Canva does not guarantee copyright protection

You are responsible for ensuring your use of Output does not violate the rights of others.

5. License to Open Canva

To operate the Services, you grant Open Canva a worldwide, non-exclusive license to:

  • Host
  • Process
  • Store
  • Display
  • Reproduce

your Input and Output solely for the purpose of providing and improving the Services.

We do not claim ownership of your content.

6. Acceptable Use

You agree not to use the Services to:

  • Violate intellectual property rights
  • Generate illegal or harmful content
  • Impersonate others
  • Distribute malware or malicious code
  • Exploit or abuse the platform
  • Reverse engineer or scrape models
  • Bypass platform safeguards

We may suspend or terminate accounts violating these rules.

7. AI System Limitations

The Services use artificial intelligence systems that may produce:

  • Inaccurate information
  • Biased content
  • Unexpected results
  • Outputs similar to existing works

You acknowledge that:

  • AI outputs should be reviewed before use
  • Open Canva is not responsible for decisions made based on generated content

8. Third-Party AI Providers

Open Canva may integrate models or APIs provided by third parties.

Use of those models may also be subject to additional terms from those providers.

Open Canva is not responsible for third-party services.

9. Subscription Plans and Payments

Certain features require a paid subscription. Subscriptions may be billed monthly or annually.

Payments are processed by third-party payment providers.

You agree that:

  • Fees are non-refundable except where required by law
  • We may change pricing with advance notice
  • Failure to pay may result in suspension

10. Termination

You may stop using the Services at any time.

We may suspend or terminate accounts if:

  • Terms are violated
  • Misuse occurs
  • Legal compliance requires it

Upon termination, your access to the Services will end.

11. Intellectual Property

The Open Canva platform, including software, branding, and design, is owned by Open Canva, Inc.

These Terms do not grant you rights to trademarks, logos, or platform software except as necessary to use the Services.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

Open Canva makes no warranties regarding:

  • Accuracy of AI outputs
  • Uninterrupted availability
  • Fitness for a particular purpose
  • Non-infringement

Use of the Services is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Open Canva will not be liable for:

  • Indirect damages
  • Lost profits
  • Lost data
  • Business interruption

Our total liability will not exceed the amount you paid for the Services in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Open Canva from claims arising from:

  • Your use of the Services
  • Your Input or Output
  • Violation of these Terms
  • Infringement of third-party rights

15. Modifications to the Terms

We may update these Terms periodically. If changes are material, we will notify users.

Continued use of the Services after updates constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Any disputes will be resolved in the courts located in Delaware.

17. AI Model Aggregator Disclosure

Open Canva provides a workspace that enables users to generate and iterate on visual content using artificial intelligence models. Some of these models may be developed or operated by third-party providers.

Open Canva does not own or control all underlying AI models used within the Services. Certain generation capabilities may rely on technology or APIs provided by third parties.

By using these features, you acknowledge and agree that:

  • Generated content may be produced by third-party models
  • The availability and performance of such models may change at any time
  • Additional terms from third-party providers may apply to certain features

Open Canva is not responsible for the performance, availability, or outputs of third-party AI systems integrated into the Services.

18. Prompt and Workflow Ownership

Users may submit prompts, instructions, workflows, and other inputs to generate content through the Services. You retain ownership of prompts and inputs you create.

However, by submitting prompts or workflows to the platform, you grant Open Canva a limited, non-exclusive, worldwide license to:

  • Process prompts
  • Store prompts
  • Analyze prompt performance
  • Improve system functionality

This license exists solely to operate and improve the Services.

Open Canva does not claim ownership over user prompts but may use anonymized prompt data to improve system reliability, safety mechanisms, and product features.

19. Confidentiality and Enterprise Workspaces

Open Canva may offer collaborative workspaces designed for professional and enterprise use.

Content created within these workspaces, including prompts, inputs, and generated outputs, may contain confidential or proprietary information.

Open Canva agrees to use commercially reasonable measures to protect user content from unauthorized access or disclosure. However, users are responsible for determining whether the Services are appropriate for storing or processing sensitive information.

Unless otherwise agreed in a separate written agreement, Open Canva does not guarantee compliance with industry-specific regulatory frameworks.

Enterprise customers may enter into additional agreements governing:

  • Data handling
  • Security standards
  • Confidentiality obligations
  • Service-level commitments

Such agreements will supersede these Terms where applicable.
